Acceptance of Terms

By accessing or using DoorStudio.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and DoorStudio.ai ("Company," "we," "us," or "our"). These Terms apply to all users, including visitors, dealers, and administrators.

Software as a Service (SaaS) Agreement

DoorStudio.ai is a Software as a Service (SaaS) platform. By subscribing to or using the Service, you acknowledge and agree that:

• You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the term of your subscription
• You do not acquire any ownership, equity, or proprietary interest in the software, source code, algorithms, AI models, databases, infrastructure, documentation, or any other component of the Service
• No code, software, technology, or intellectual property is sold, assigned, or transferred to you under these Terms
• Your right to use the Service is conditional upon your compliance with these Terms and timely payment of applicable fees
• We retain sole and exclusive ownership of the Service and all related intellectual property rights at all times

Description of Service

DoorStudio.ai provides an AI-powered door visualization platform that allows door dealers to offer their customers the ability to preview doors on photos of their homes. The Service includes the public visualizer, dealer dashboard, lead management tools, embeddable website integrations, and related features. The specific features, functionality, and availability of the Service may change at any time without prior notice.

User Accounts

Dealer accounts are created by DoorStudio.ai and accessed via email and token-based authentication. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or revoke account access at any time.

Pricing and Billing

Access to the Service requires payment of applicable subscription fees. You acknowledge and agree that:

• Subscription fees are billed on a monthly basis unless otherwise agreed in writing
• Pricing is subject to change at any time with thirty (30) days' notice, which may be provided via email, in-app notification, or by updating these Terms
• All fees are non-refundable, including for partial months of service, unless otherwise required by applicable law
• Failure to pay fees when due may result in immediate suspension or termination of your account and access to the Service
• We reserve the right to introduce new fees for additional features, services, or usage tiers at any time
• You are responsible for all taxes, duties, or other governmental charges associated with your use of the Service

Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload content that is offensive, harmful, misleading, or infringes on the rights of others
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse-engineer, decompile, disassemble, or attempt to extract the source code of any part of the Service
• Use the Service to send unsolicited communications or spam
• Scrape, crawl, or use automated tools to extract data from the Service without our express written consent
• Sublicense, resell, redistribute, or share your account access with unauthorized third parties
• Remove, alter, or obscure any proprietary notices, labels, or markings on the Service

Embeddable Visualizer

Dealers may embed the DoorStudio.ai visualizer on their website using the embed code provided through the Service. You acknowledge and agree that:

• The embed code, script, iframe, and all associated functionality remain the exclusive property of DoorStudio.ai
• You are granted a revocable, non-exclusive license to use the embed code solely on your own website(s) during the term of your active subscription
• We may revoke, modify, or disable embed access at any time, with or without notice
• You may not modify, reverse-engineer, or create derivative works from the embed code
• The embedded visualizer is provided "as is" and we make no guarantees regarding its compatibility with your website, hosting environment, or third-party software

Uploaded Content

You retain ownership of the photos and images you upload to the Service. By uploading content, you grant DoorStudio.ai a non-exclusive, royalty-free license to use, process, and store the content solely for the purpose of providing the Service (including AI-generated visualizations). You represent that you have the right to upload any content you provide.

AI-Generated Content

The Service uses artificial intelligence to generate door visualization images. AI-generated results are approximations and may not perfectly represent the final appearance of a door installation. DoorStudio.ai makes no warranties regarding the accuracy, quality, or suitability of AI-generated images. These visualizations are provided for illustrative purposes only and should not be relied upon as a guarantee of final product appearance.

Dealer Responsibilities

Dealers using the Service agree to:

• Provide accurate and up-to-date information about their products and business
• Handle customer leads and personal information in compliance with applicable privacy laws
• Use the lead information collected through the Service only for legitimate business purposes related to the customer's inquiry
• Not misrepresent the capabilities of the AI visualization tool to their customers
• Not represent or imply that they own, developed, or have proprietary rights to the DoorStudio.ai software or platform

Visualization Credits

AI visualizations are subject to a credit-based system. Monthly credits reset at the beginning of each calendar month. Additional credit packs may be purchased separately. Unused monthly credits do not roll over. Credit limits, allocations, and pricing are subject to change at any time with notice.

Intellectual Property and Ownership

The Service, including but not limited to its design, source code, object code, algorithms, artificial intelligence models, databases, user interfaces, features, documentation, branding, trademarks, trade secrets, and all related intellectual property, is and shall remain the sole and exclusive property of DoorStudio.ai and its licensors. All rights not expressly granted to you under these Terms are reserved by DoorStudio.ai.

You acknowledge and agree that:

• No ownership, equity, or proprietary interest in the Service or any of its components is transferred to you
• You acquire no rights to the Service other than the limited license to use it as described in these Terms
• Any feedback, suggestions, or improvements you provide regarding the Service become the property of DoorStudio.ai without any obligation to you
• You may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Service without our prior written consent

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS." To the fullest extent permitted by applicable law, DoorStudio.ai expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that the Service will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components
• Any warranty regarding the accuracy, reliability, or completeness of any content or results provided through the Service
• Any warranty that the Service will meet your specific requirements or expectations
• Any warranty of uptime, availability, performance, or data integrity

You use the Service at your sole risk. No advice or information, whether oral or written, obtained from DoorStudio.ai or through the Service shall create any warranty not expressly stated in these Terms.

Limitation of Liability

To the fullest extent permitted by law, DoorStudio.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of revenue, loss of profits, loss of business, loss of data, or cost of procurement of substitute services. Our total aggregate liability for any and all claims arising from the Service shall not exceed the amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless DoorStudio.ai, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service or any activity under your account
• Your violation of these Terms or any applicable law or regulation
• Your violation of any rights of a third party, including intellectual property, privacy, or publicity rights
• Any content you upload, transmit, or make available through the Service
• Any claims by your customers, end users, or website visitors related to your use of the Service or the embedded visualizer

Right to Refuse or Terminate Service

DoorStudio.ai reserves the absolute right to refuse, suspend, or terminate service to any company, organization, or individual, for any reason or for no reason, at any time, with or without prior notice, to the fullest extent permitted by applicable law. Without limiting the foregoing:

• We are not obligated to provide reasons for any refusal, suspension, or termination of service
• We may terminate your account if we determine, in our sole discretion, that your use of the Service is harmful, objectionable, or contrary to our interests
• We may terminate your account for non-payment, breach of these Terms, or inactivity
• We may refuse service to any prospective customer at our sole discretion

Data and Account Upon Termination

Upon termination of your account, whether by you or by us:

• Your right to access and use the Service ceases immediately
• Any embedded visualizers on your website(s) will cease to function
• We may, at our sole discretion, delete your account data, including but not limited to your door catalog, customer leads, visualizations, and analytics data, after thirty (30) days following termination
• We are under no obligation to provide you with a copy or export of your data following termination, unless otherwise required by applicable law
• You remain liable for any outstanding fees or obligations incurred prior to termination
• Provisions of these Terms that by their nature should survive termination (including but not limited to intellectual property, indemnification, limitation of liability, and disclaimer of warranties) will remain in full force and effect

Modifications to Terms

We reserve the right to modify these Terms at any time, in our sole discretion. We will notify you of material changes by updating the "Last updated" date at the top of this page. Changes may also be communicated via email or in-app notification. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with any changes, you must discontinue use of the Service.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Florida, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida. You consent to the personal jurisdiction of such courts and waive any objection to venue therein.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions of these Terms shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and DoorStudio.ai with respect to your use of the Service, and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and DoorStudio.ai regarding the Service.
